Introduction
These Terms and Conditions ("Terms") govern the provision of services by Itaagi Logistics Limited ("Itaagi," "we," "us," or "our") to clients ("Client," "you," or "your").
By engaging our services, requesting quotes, or entering into agreements with us, you accept and agree to be bound by these Terms. Please read these Terms carefully before using our services.
Scope of Services
Itaagi provides comprehensive procurement, sourcing, and operational support services including:
Sourcing, Procurement & Trade - General and specialized procurement, international sourcing
Office Administration & Products - Office supplies, equipment, printing services
Human Resources Services - Manpower supply, temporary staffing
Professional Cleaning Services - Corporate and institutional cleaning
Facilities Maintenance - Pump maintenance, general facilities upkeep
Consultancy & Advisory - Business advisory, procurement optimization
Quotations and Pricing
Quote Provision
- Quotes are provided based on information supplied by Client
- Quotes are valid for the period specified (typically 30 days unless stated otherwise)
- Quotes may be withdrawn or revised after validity period expires
- We reserve the right to correct obvious errors in quotes
Pricing and Payment
- Prices quoted in Ugandan Shillings (UGX) unless otherwise specified
- Payment terms specified in individual Agreements or quotes
- Late payments may incur interest charges as specified in Agreement
- Prices exclude VAT and other applicable taxes unless stated otherwise
- Client responsible for all applicable taxes, duties, and levies
Delivery Terms
Delivery Timelines
- Timelines specified in Quotes or Agreements
- Timelines are estimates based on normal circumstances
- We make reasonable efforts to meet delivery timelines
- Delays beyond our control do not constitute breach
Risk Transfer
- Risk transfers to Client upon delivery
- Client responsible for inspection upon delivery
- Claims for damage must be raised immediately
- Acceptance deemed unless rejection communicated promptly
Product Quality and Warranties
Quality Assurance
- We source Products from reputable suppliers
- Products meet specifications outlined in Agreements or Quotes
- We conduct reasonable quality checks within our capabilities
- We provide manufacturer warranties and certifications where available
Warranties
- Manufacturer warranties pass through to Client where available
- We do not provide independent warranties beyond what we receive from suppliers
- Warranty claims processed according to manufacturer terms
- We assist in warranty claim processing where reasonable
Liability and Indemnification
Limitation of Liability
- Our liability limited to direct damages caused by our negligence or breach
- Maximum liability: Value of specific transaction or service giving rise to claim
- We are not liable for indirect, consequential, incidental, or special damages
- We are not liable for loss of profits, revenue, business, data, or opportunities
Exclusions from Liability
- Force majeure events
- Client-caused delays, errors, or failures
- Third-party vendor or supplier failures beyond our control
- Product defects attributable to manufacturers
Force Majeure
Neither party liable for failure to perform obligations due to circumstances beyond reasonable control, including:
- Natural disasters (floods, earthquakes, pandemics)
- War, terrorism, or government actions
- Labor disputes or strikes
- Power or telecommunications disruptions
- Supplier failures or shortages
- Transportation disruptions
Dispute Resolution
Process
- Informal Resolution: Parties first attempt to resolve disputes through good-faith negotiation
- Mediation: If informal resolution unsuccessful, parties may agree to mediation
- Governing Law: These Terms governed by laws of Uganda
- Jurisdiction: Courts of Uganda have exclusive jurisdiction over disputes
